Wholesale Terms & Conditions
Effective Date: January 1, 2026
These Wholesale Terms & Conditions (“Agreement”) apply to all purchase orders submitted to Beachside Bikinis LLC (“Beachside,” “we,” “us,” or “our”) by the purchasing retailer (“Retailer” or “Buyer”). Submission of a purchase order constitutes acceptance of these terms.
1. Minimum Order Requirements
- Opening Order Minimum: $1,000 USD (wholesale value).
- Reorder Minimum: $500 USD (wholesale value).
Beachside reserves the right to decline orders that do not meet minimum requirements.
2. Pricing & Payment
All pricing is in U.S. Dollars.
Accepted Payment Methods:
- Check
- Zelle
- Venmo
- Credit Card
- Wire Transfer
- ACH
Payment Terms:
In-stock orders: Due Upon Order
Production items: 50% due upon order; 50% upon shipment
Beachside reserves the right to withhold shipment for unpaid balances.
3. Shipping & Fulfillment
In-Stock Merchandise
In-stock items typically ship within 72 business hours of payment confirmation.
Production / Made-to-Order Merchandise
Production items have an estimated lead time of up to 8 weeks (approximately 60 days) from order acceptance.
Estimated ship dates will be confirmed upon order acceptance.
Free standard ground shipping is provided within the continental United States. Expedited shipping is available at Buyer’s expense.
Risk of loss transfers to Buyer upon carrier pickup.
Beachside will make commercially reasonable efforts to meet requested delivery dates but does not guarantee specific arrival dates.
4. Defective Merchandise
Claims for defective or damaged merchandise must be submitted in writing within 7 days of receipt, including supporting photos.
Beachside may, at its discretion:
- Replace product
- Issue store credit
- Provide refund for defective merchandise only
5. Brand Representation & Distribution Control
Retailer agrees to maintain the elevated image and brand integrity of Beachside Bikinis.
Retailer shall:
- Present products in a professional, premium retail environment.
- Not alter, re-label, or modify products.
- Not sell on third-party marketplaces (including Amazon, eBay, Walmart Marketplace, etc.) without prior written consent.
- Not discount or advertise below authorized pricing.
Beachside reserves the right to terminate accounts that do not align with brand standards.
6. Minimum Advertised Price (MAP) Policy
Retailer shall not advertise, promote, or offer Beachside Bikinis products below the full retail price listed on beachsidebikinis.com at the time of sale
This includes:
- Website pricing
- Email campaigns
- Social media promotions
- Coupon codes specific to our products
Violations may result in suspension or termination of wholesale privileges. Any and all discounts must be approved in written consent with clearly outlined discount amount and date of sale/discount.
7. Marketing Support
Beachside is committed to collaborative retail partnerships.
Marketing support and brand assets may be made available upon request and at Beachside’s discretion, based on order volume, brand alignment, and presentation standards.
Retailers are encouraged to communicate merchandising or promotional initiatives in advance for potential collaboration.
8. Order Cancellation
Orders may not be canceled after acceptance by Beachside.
For production or made-to-order items, cancellations are not permitted once production has commenced.
10. Limitation of Liability
Beachside’s total liability shall not exceed the wholesale amount paid for the merchandise in question.
Beachside shall not be liable for indirect, incidental, or consequential damages.
11. Governing Law & Venue
This Agreement shall be governed by the laws of the State of California.
Venue for any permitted court proceedings shall be Orange County, California.
12. Dispute Resolution
Any dispute arising out of or relating to this Agreement shall first be submitted to good-faith mediation in Orange County, California.
If unresolved, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association in Orange County, California.
Each party shall bear its own attorney’s fees and costs unless otherwise awarded by the arbitrator.
13. Force Majeure
Beachside shall not be liable for delays or failure to perform resulting from events beyond reasonable control, including supply chain disruptions, acts of God, labor disputes, carrier delays, or governmental actions.
14. Partnership Commitment
Beachside Bikinis is committed to long-term, elevated retail relationships.
